Terms and Conditions

1. Definitions
In this document, the following terms have the meanings below:
- Platform / Service: the Billyou web application, available at billyou.ro and its subdomains.
- Operator: Billu SRL, headquartered in Romania, registered with the Trade Register.
- User: any natural or legal person who accesses or uses the Platform.
- Subscription: the service plan chosen and paid for by the User per the pricing section.
- Content: all data, invoices, documents, and information uploaded by the User into the Platform.
2. Acceptance of Terms
By creating an account or using any Platform feature, the User confirms that they have read, understood, and fully accept these Terms and Conditions. If you do not agree with any of the provisions below, please do not use the Platform.
3. Description of Billyou services
Billyou provides an online invoicing and financial management platform for Romanian legal entities and self-employed individuals (PFA), including:
- Issuing and managing electronic tax invoices.
- Automatic submission of e-Invoices to ANAF via SPV, in accordance with current law.
Access to services is exclusively online, through the account created by the User. The Operator reserves the right to modify, suspend, or discontinue any feature, with prior notice to Users.
4. Registration and user account
- Registration requires real, complete, and up-to-date information (name, email, company data).
- The User is solely responsible for the confidentiality of their authentication credentials and for activity in their account.
- If you suspect unauthorized access, you must immediately notify the Operator at suport@billyou.ro.
5. Sale / service contract
The contract between the User and the Operator is concluded upon confirmation of payment for the chosen subscription. Confirmation is sent automatically to the email address associated with the account. The Operator may refuse an order or suspend access in case of breach of these Terms.
6. Pricing, payments, and billing
- Prices on the Platform are in Romanian lei (RON) and include VAT where applicable.
- Payments are made through the methods available on the Platform (bank card, bank transfer).
- On request, the Operator issues a tax invoice for paid subscriptions. Billing details can be set in the account settings.
7. Delivery / performance / access to services
Access to the Platform is activated immediately after payment is confirmed or upon creation of a free account, as applicable. Services are available 24/7, except for scheduled maintenance windows, of which Users will be notified in advance.
8. Right of withdrawal and refund policy
In accordance with applicable law, consumer Users have a right of withdrawal within 14 calendar days of subscription activation, except where the services have been fully delivered with the User's express consent. Refund requests are sent to suport@billyou.ro. Refunds are processed within 14 days of accepting the request.
9. Warranties and limitation of liability
- The Operator makes reasonable efforts to ensure the availability and correctness of the Platform's features, without guaranteeing uninterrupted availability.
- The Operator is not responsible for delays or errors caused by ANAF/SPV systems, which are outside its control.
- The Operator's total liability to the User shall not exceed the value of the subscription paid in the month the damage occurred.
10. Intellectual property
All intellectual property rights in the Platform, design, source code, trademarks, and editorial content belong to Billu SRL. Reproduction, distribution, or use of any Platform element without prior written consent of the Operator is prohibited. The User retains the rights to the Content they upload to the Platform.
11. Privacy and cookies (summary)
Personal data is processed in accordance with Regulation (EU) 2016/679 (GDPR). Full details on the data we collect, processing purposes, and your rights are available in the Privacy Policy. The Platform uses technical cookies necessary for operation and, optionally, analytics cookies with your consent.
12. Use of Billyou through AI Assistant Connectors
You may connect Billyou to a supported third-party AI assistant (Anthropic's Claude or OpenAI's ChatGPT) using our MCP Connector. By doing so, you authorize the connector to read data from the Billyou organization you select, on your behalf, in response to prompts you submit to that AI assistant.
You are responsible for the prompts you submit and for the outputs you accept from the assistant. Billu SRL does not warrant the accuracy of any answer the assistant generates from your Billyou data: the AI provider may summarize, rephrase, or reason about the data in ways that introduce errors. For accounting, tax, regulatory, or audit decisions, always verify against the source data in the Billyou dashboard or your official Romanian e-factura SPV records.
You may not:
- Use the connector in a way that would breach the AI provider's own Acceptable Use Policy (Anthropic AUP, OpenAI Usage Policies).
- Attempt to extract data from a Billyou organization you have not been granted access to. The connector enforces single-organization scope at the OAuth grant level; circumvention attempts are a breach of these Terms.
- Use the connector to scrape, mirror, or bulk-export Billyou data outside the published tool catalog. The connector exposes specific, named operations; using them as a generic export tool may result in suspension or termination per our standard fair-use clauses.
- Re-publish or share with third parties the data you receive through the connector beyond the scope of your normal Billyou license.
Future versions of the connector may include write capabilities (creating invoices, recording payments, managing expenses). When activated for your organization, write operations through the connector are subject to all the same regulatory obligations as operations performed manually in the dashboard, and you are the responsible party for the resulting records, including their tax and accounting consequences. The AI assistant is a tool acting on your instruction; it does not assume your obligations under Romanian tax law (Codul Fiscal, OUG 120/2021, OUG 130/2021, etc.).
We may suspend connector access without notice if we detect abuse, prompt-injection patterns aimed at extracting other users' data, or behavior that risks the integrity of the Billyou platform.
13. Force majeure
Neither party is liable for failure to perform contractual obligations caused by force majeure events (natural disasters, large-scale cyberattacks, unforeseeable legislative changes, ANAF infrastructure disruptions, etc.). The affected party will notify the other within 5 business days of the event.
14. Governing law and dispute resolution
These Terms are governed by Romanian law. Any dispute will first be resolved amicably; if that is not possible, jurisdiction lies with the courts at the Operator's headquarters. Consumer Users may also use the European online dispute resolution platform (https://ec.europa.eu/consumers/odr/).
15. Changes to the Terms
The Operator reserves the right to modify these Terms at any time, with notice to Users at least 15 days before the changes take effect. Continued use of the Platform after that date constitutes acceptance of the new Terms.
